1. Acceptance of Terms

By accessing and using Kwata Career (career.kwatateam.com), operated by Kwata Team Inc. (the "Company," "we," "us," or "our"), you ("User," "you," or "your") accept and agree to be bound by these Terms of Service (the "Terms"), our Privacy Policy, our Cookie Policy, and our Refund Policy, which are incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and Kwata Team Inc. You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Kwata Career is an AI-powered career management platform (the "Platform") that provides users with AI-assisted career management tools including, but not limited to:

  • Analyzing resumes using artificial intelligence (Claude by Anthropic)
  • Providing AI-scored role compatibility assessments (0-100% match)
  • Generating personalized cover letters using AI
  • Creating tailored resumes for specific applications
  • Identifying skill gaps and career development opportunities
  • Offering AI-powered interview preparation tools
  • Sending email notifications with career analysis results

The Platform provides career management tools only. It is not a staffing agency, employment agency, job board, recruitment service, or employer. We do not guarantee employment outcomes of any kind.

3. AI-Generated Content Disclaimer

IMPORTANT — PLEASE READ CAREFULLY: Kwata Career uses artificial intelligence to generate content including cover letters, tailored resumes, match scores, skills gap analyses, and recommendations. By using this Platform, you expressly acknowledge, understand, and agree that:

  • AI-generated content may contain errors, inaccuracies, omissions, or inappropriate content
  • You are solely and entirely responsible for reviewing, editing, verifying, and validating all AI-generated documents before any use whatsoever
  • AI match scores are algorithmic estimates only and do not guarantee interview invitations, job offers, or employment outcomes
  • Generated cover letters and resumes must be customized by you to accurately reflect your authentic voice, qualifications, and experience
  • We do not guarantee the accuracy, completeness, or suitability of skill gap analysis, learning recommendations, or any other AI output
  • AI recommendations do not constitute professional career advice, employment counseling, legal advice, or any form of professional advice
  • You assume all risk associated with your use of, or reliance on, AI-generated content
  • We are not responsible for any consequences, damages, or losses resulting from your use of AI-generated content, including but not limited to rejection of applications, loss of employment opportunities, or reputational harm

4. No Professional Advice

THE PLATFORM DOES NOT PROVIDE PROFESSIONAL CAREER COUNSELING, EMPLOYMENT ADVICE, LEGAL ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE. All AI-generated content, scores, recommendations, and analyses are provided for informational and assistive purposes only. You should consult qualified professionals for career counseling, legal matters, or employment-related decisions. Your use of AI-generated content is entirely at your own risk and discretion.

5. Processing Time

When you submit a career analysis request, our AI pipeline typically takes 3-10 minutes to complete. Processing times are estimates only and may vary based on system load, complexity of analysis, and other factors. We do not guarantee specific processing times.

6. User Accounts

To use our Platform, you must create an account using Google OAuth and provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account, whether or not authorized by you
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your contact information remains current and accurate

We reserve the right to suspend or terminate any account at our sole discretion.

7. Subscription Plans and Billing

Starter Plan (Free)

  • 3 career analyses total (lifetime limit)
  • 10 roles analyzed per session
  • AI-generated cover letters and resumes for qualifying matches
  • Email notifications with analysis results

Pro Plan ($15.99 CAD/month)

  • 10 career analyses per month
  • 10 chat-based role analyses per month
  • 10 roles analyzed per session
  • All AI features (cover letters, resumes, skill analysis)
  • Priority email support
  • Access to interview preparation tools

Billing occurs monthly via Dodo Payments, our Merchant of Record. Dodo Payments handles all payment processing, tax calculation, invoicing, and compliance. We do not store your payment card information. You may cancel at any time, with access continuing until the end of your current billing period. All payments are final and non-refundable, except as described in our Refund Policy. Prices are subject to change with 30 days' notice.

8. User Responsibilities

You agree to:

  • Provide accurate and truthful information in your resume and profile
  • Use the Platform for legitimate personal career management purposes only
  • Review and verify all AI-generated content before submitting to employers or any other party
  • Respect intellectual property rights of Kwata Team Inc. and third parties
  • Not attempt to circumvent usage limits, restrictions, or security measures
  • Not use the Platform for any unlawful or prohibited activities
  • Not misrepresent AI-generated content as solely your own creation where disclosure is required
  • Comply with all applicable laws, regulations, and these Terms

9. Prohibited Uses

You may not use our Platform to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or interfere with Platform operation
  • Attempt unauthorized access to our systems, networks, or data
  • Share account credentials with others or allow unauthorized access
  • Use automated tools, bots, or scripts to access the Platform beyond intended functionality
  • Misrepresent your identity, qualifications, or experience to employers
  • Harvest, scrape, or collect data for commercial purposes
  • Upload resumes or content containing false, misleading, or fraudulent information
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Use the Platform to compete with or replicate our services

10. Service Availability

While we strive for high availability, we do not guarantee uninterrupted, error-free, or continuous access to the Platform. We may perform maintenance, updates, or modifications that may temporarily or permanently affect service availability, with or without notice. We shall not be liable for any unavailability, downtime, or service interruptions.

11. Content and Intellectual Property

You retain ownership of your personal content (resume, profile information, etc.). By using our Platform, you grant us a non-exclusive, worldwide, royalty-free, limited license to use, process, and store this content solely to provide and improve our services, including processing by AI systems.

AI-generated content (cover letters, tailored resumes, analyses) is provided for your personal use in career applications. All Platform features, software, algorithms, designs, trademarks, and content provided by Kwata Career remain the exclusive intellectual property of Kwata Team Inc. and are protected by applicable intellectual property laws.

12. Career Tools and Employment Disclaimer

KWATA CAREER PROVIDES AI-POWERED CAREER MANAGEMENT TOOLS ONLY. We are not an employment agency, staffing firm, job board, or recruitment service. We expressly disclaim any and all responsibility for employment outcomes. We cannot and do not guarantee:

  • The accuracy, completeness, or timeliness of role analyses or AI outputs
  • The availability of positions when you apply
  • That you will receive interviews, callbacks, or job offers
  • Employment outcomes, hiring decisions, or career advancement
  • The accuracy or suitability of AI-generated match scores
  • The effectiveness of AI-generated cover letters, resumes, or recommendations
  • That the Platform will meet your specific career needs or expectations

Career success depends on many factors beyond our control, including but not limited to market conditions, employer preferences, competition, individual qualifications, interview performance, and economic conditions. Our tools assist in your career management process but do not guarantee any employment outcomes whatsoever.

13. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, store, and protect your information, including how your data is processed by AI systems. By using the Platform, you consent to data collection and processing as described in our Privacy Policy.

14. Disclaimers

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KWATA TEAM INC. EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES OF ACCURACY, COMPLETENESS, OR RELIABILITY OF CAREER ANALYSIS RESULTS
  • WARRANTIES OF ACCURACY, QUALITY, OR SUITABILITY OF AI-GENERATED CONTENT AND RECOMMENDATIONS
  • WARRANTIES OF UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE OPERATION
  • WARRANTIES REGARDING THE SECURITY OF DATA TRANSMISSION OR STORAGE
  • WARRANTIES THAT THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE PLATFORM OR KWATA TEAM INC. SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KWATA TEAM INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Lost profits, revenue, data, goodwill, or business opportunities
  • Failure to obtain employment, interviews, or career advancement
  • Reliance on AI-generated content, recommendations, or match scores
  • Errors, inaccuracies, or omissions in analyses, documents, or AI outputs
  • Service interruptions, data loss, or system failures
  • Unauthorized access to or alteration of your data
  • Any third-party conduct or content

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY CANADIAN DOLLARS (CAD $50.00).

THE LIMITATIONS IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

16. Assumption of Risk

You expressly acknowledge and agree that your use of the Platform is at your sole risk. You voluntarily assume all risks associated with:

  • Using AI-generated content in career applications or professional contexts
  • Submitting AI-generated cover letters or resumes to employers or third parties
  • Acting on AI-generated recommendations, match scores, or skill assessments
  • Providing personal and professional information to the Platform for AI processing
  • Any decisions made based on information obtained through the Platform

17. Indemnification

You agree to indemnify, defend, and hold harmless Kwata Team Inc., its directors, officers, employees, agents, affiliates, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your use of or inability to use the Platform
  • Your violation of these Terms or any applicable law or regulation
  • Your misuse, misrepresentation, or improper use of AI-generated content
  • Any content or information you submit to the Platform
  • Your infringement of any third-party rights
  • Any claim by a third party related to your use of the Platform

18. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Platform:

  • Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting us at career@kwatateam.com. We will attempt to resolve the dispute within 30 days.
  • Jurisdiction: If informal resolution fails, any dispute shall be resolved exclusively in the courts of competent jurisdiction in the Province of Alberta, Canada.
  • Governing Law: These Terms are governed by the laws of Canada, specifically the Province of Alberta, without regard to conflict of law principles.

19. Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found to be unenforceable, then the entirety of this dispute resolution section shall be null and void.

20. Force Majeure

Kwata Team Inc. shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, government actions, war, terrorism, civil unrest, power outages, internet disruptions, cyberattacks, third-party service failures (including AI provider outages), labor disputes, or any other force majeure event.

21. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us at career@kwatateam.com. Upon termination:

  • Your right to access and use the Platform immediately ceases
  • Your data will be deleted in accordance with our Privacy Policy
  • Any outstanding payment obligations survive termination
  • Sections 3, 4, 12, 14, 15, 16, 17, 18, 19, and 23 survive termination

22. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes via email or Platform notification at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.

23. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Kwata Team Inc. regarding your use of the Platform, and supersede all prior agreements, representations, and understandings.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, shall be severed. The remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. No waiver shall be effective unless made in writing and signed by an authorized representative of Kwata Team Inc.

Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction.
